Terms of Servies

Describes general rules on how StartAutomate works for customers.

1. Scope

These Terms apply to all agreements between StartAutomate ("we", "our", or "Service Provider") and our clients ("you" or "Client"). If a separate written contract exists, its terms take priority over these Terms.

2. Services

We provide automation and development services using iPaaS platforms and custom API/web development. This is a service relationship, not employment. We are responsible for our own taxes and insurance. We may work with other clients simultaneously.

3. Contract Formation

A contract begins when you send us an order (offer), and we accept it in writing or by starting the service. Offers are valid for 14 days unless otherwise stated. We may cancel orders if we cannot deliver due to supplier issues beyond our control.

4. Duration & Termination

Contracts run for the agreed period and may be terminated with 3 months’ notice at month-end, unless otherwise agreed, or immediately for serious reasons (e.g., payment default, insolvency). Work completed up to termination must be paid in full.

5. Scope of Work & Changes

5.1 Deliverables: We deliver services as described in the order. We’ll keep you updated during the project.

5.2 Technical Limitations: If certain automation tasks can’t be completed due to third-party limitations, we’re not obligated to deliver. Work done up to that point is still billable.

5.3 Change Requests: You may request changes in writing. If changes require significant review, we may charge for that time. Approved changes will be documented.

6. Intellectual Property & Usage Rights

You get a non-exclusive usage right to the delivered automation within your iPaaS/cloud environment, after full payment. Source code, raw data, and ownership remain with StartAutomate unless otherwise agreed. You may not resell, modify, or transfer the deliverables without written permission. Ownership can be negotiated separately for a fee.

7. Payment Terms

  • Prices are based on our accepted offer or price list.
  • We may require 50% upfront before starting work. The balance is due after delivery.
  • All prices are subject to applicable VAT.
  • Invoices are due within 7 days. Late payments incur interest (1% per day, max total 100%).
  • We may pause or cancel work for overdue payments exceeding 30 days.
  • Travel and accommodation expenses (if applicable) will be billed separately.

8. Liability

We’re liable only for intent or gross negligence. Maximum liability is limited to €10,000 per project. We are not liable for lost profits, data loss, or delays due to third-party platforms or services. If you delay payment beyond 30 days, we may terminate the contract immediately.

9. Use of Client as Reference

Unless you object, you agree that we may list you as a client, use your logo in marketing, and request a short case study or testimonial after project completion. You can revoke this permission anytime by emailing us at contact@startautomate.com.

10. Legal

If any clause is invalid, the rest remain enforceable. Amendments must be in writing. UK law applies exclusively. Legal disputes will be handled in London, United Kingdom.
